dc.description.abstractA través del enfoque cualitativo, de alcance exploratorio, basado en fuentes documentales como la doctrina, la normatividad, los pronunciamientos judiciales y administrativos de la Superintendencia de Sociedades y la jurisprudencia de la Corte Constitucional se aborda el contenido de la figura del administrador de hecho en Colombia a partir del artículo 27 de la Ley 1258 de 2008, llegando a establecer que el accionista de la SAS es sujeto de dicho precepto cuando rompe el deber de colaboración en ejercicio de sus derechos inmiscuyéndose en actividades positivas de gestión, administración y dirección de la sociedad. Asimismo se estudia contenido del deber de lealtad del administrador normativamente desarrollado en los deberes de: (i) reserva comercial e industrial de la sociedad, (ii) obligación de abstenerse de utilizar indebidamente información privilegiada, (iii) obligación de abstenerse de participar por sí o por interpuesta persona en interés personal o de terceros, en actividades que impliquen competencia con la sociedad y (iv) obligación de abstenerse de participar por si o por interpuesta persona en interés personal o de terceros en actos respecto de los cuales exista conflicto de intereses. Finalmente, se identifica como puntos de encuentro de la lealtad de los administradores y accionistas la aplicación de las sanciones por infracción al régimen de responsabilidad de los administradores y la regulación en materia de conflicto de intereses y actos de competencia en el Decreto 1925 de 2009, de lo cual se puede inferir la necesidad de ponderar la protección de los intereses societarios de una parte y los intereses colectivos y particulares amparados en la constitución política de 1991 como la libertad de empresa y la libertad de competencia de otra.
dc.description.abstractenglishThrough the qualitative approach, of exploratory scope, based on documentary sources such as doctrine, regulations, judicial and administrative pronouncements of the Superintendence of Societies and the jurisprudence of the Constitutional Court, the content of the de facto administrator figure is addressed in As of article 27 of Law 1258 of 2008, Colombia, establishing that the SAS shareholder is subject to said provision when it breaks the duty of collaboration in the exercise of its rights, meddling in positive activities of management, administration and direction of the society. Likewise, the content of the administrator's duty of loyalty, which is normatively developed, is studied in the duties of: (i) commercial and industrial reserve of the company, (ii) obligation to refrain from improperly using privileged information, (iii) obligation to refrain from participating on its own or by a person in personal or third-party interest, in activities that imply competition with the company and (iv) obligation to refrain from participating in or on behalf of a person in personal or third-party interest in acts for which there is a conflict of interest . Finally, it is identified as meeting points of the loyalty of the administrators and shareholders the application of the sanctions for infraction to the regime of responsibility of the administrators and the regulation in the matter of conflict of interests and acts of competition in Decree 1925 of 2009, from which one can infer the need to weigh the protection of the corporate interests of one party and the collective and private interests protected in the 1991 political constitution as freedom of enterprise and the freedom of competition of another.
